Welcome to PolicySync! These Terms and Conditions ("Terms") govern your access to and use of the PolicySync reporting dashboard ("Dashboard"). By accessing or using the Dashboard, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Dashboard.

1. Definitions & Acceptance of Terms
“Dashboard” refers to the PolicySync web application, reporting tools, integrations, and all related software features.
‍“User” refers to individuals or entities, including ACA agents, agency managers, and administrators who use the Dashboard.
‍“You” refers to any individual accessing or using the Dashboard, whether personally or on behalf of an organization.
‍“PolicySync,” “we,” “our,” or “us” refers to the entity operating the Dashboard.

By accessing the Dashboard, you confirm that you are at least 18 years old and legally capable of entering into this agreement.

2. Use of the Dashboard
‍You agree to use the Dashboard lawfully and in accordance with these Terms.

You shall not:
✅ Use the Dashboard only for its intended purpose (policy tracking, reporting, and business intelligence).
❌ Attempt to reverse-engineer, modify, sublicense, or resell the Dashboard.
❌ Scrape, extract, or harvest data from the Dashboard.
❌ Share, distribute, or disclose any confidential information obtained through the Dashboard.
❌ Use the Dashboard for fraudulent activities. If you violate these Terms, PolicySync reserves the right to suspend or terminate your access without notice.

3. User Accounts Access to the Dashboard requires a valid user account authenticated through our secure login portal on https://www.policy-sync.com and also on Microsoft servers. By creating an account, you agree to: Provide accurate, current, and complete information during registration. Maintain and promptly update your account information as needed. Be responsible for all activity under your account. PolicySync reserves the right to suspend or terminate accounts that violate these Terms or are suspected of unauthorized use.

4. Data and Privacy Your use of the Dashboard is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Dashboard, you agree to the collection and use of your data as outlined in the Privacy Policy.

5. Intellectual Property All content, features, and functionality provided through the Dashboard, including but not limited to text, graphics, software, and designs, are owned by PolicySync or its licensors and are protected by applicable intellectual property laws. You may not copy, distribute, modify, or create derivative works based on any content from the Dashboard without prior written consent from PolicySync.

6. Third-Party Services The Dashboard may integrate with third-party services, including Memberstack for user authentication. PolicySync is not responsible for the practices, policies, or content of third-party services. Your interactions with such services are governed by their respective terms and policies.

7. Disclaimers The Dashboard is provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, PolicySync disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. PolicySync does not guarantee that the Dashboard will be error-free, secure, or uninterrupted.

8. Payment, Billing & Refunds
a. Subscription Payments PolicySync operates on a recurring subscription model. Charges are automatically billed on a [monthly/annual] basis.
By subscribing, you authorize automatic payments via your selected payment method.

‍b. Refunds & Cancellations Users may cancel at any time; however, no refunds will be issued for the current billing cycle.
If PolicySync terminates your account for reasons unrelated to violations, a prorated refund will be issued based on the remaining time since your last payment.

9. Limitation of Liability To the extent permitted by law, PolicySync and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Dashboard, even if advised of the possibility of such damages.

10. Indemnification You agree to indemnify, defend, and hold harmless PolicySync , its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of your violation of these Terms or misuse of the Dashboard.

11. Termination PolicySync reserves the right to suspend or terminate your access to the Dashboard at any time, with or without notice, for reasons including but not limited to:
‍Violation of these Terms, including misuse of the platform or unauthorized access.
‍Non-payment or charge disputes that result in an unpaid account.
‍Fraudulent activity or suspected security risks.
Any other business, security, or legal concerns that require account termination.

If your account is terminated or suspended by PolicySync for reasons unrelated to a violation of these Terms, we will issue a prorated refund for the unused portion of your subscription, based on the time remaining since your last billing payment.
Refunds will be processed within 21 business days and returned via the original payment method.

No refunds will be issued for terminations due to violations of these Terms, fraud, or misuse of the platform.

11. Changes to the Terms PolicySync may update these Terms from time to time. We will notify users of any material changes by posting the updated Terms on the Dashboard. Your continued use of the Dashboard after such changes constitutes your acceptance of the updated Terms.

12. Governing Law These Terms are governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your Jurisdiction].
